- Definitions
1.1. Supplier: Pet Style Living BV, established in Den Helder, registered with the Chamber of Commerce under number 72965096.
1.2. Customer: The natural or legal person who enters into an agreement with the supplier.
1.3. Agreement: Any agreement between supplier and customer regarding the delivery of goods and/or services.
1.4. Goods: All products, materials and/or services supplied by the supplier to the customer.
1.5. Written: Communication by e-mail, letter or other electronic means of communication.
- Applicability
2.1. These general terms and conditions apply to all quotations, agreements and deliveries of Pet Style Living BV
2.2. Deviations from these conditions are only valid if agreed in writing.
2.3. General terms and conditions of the customer are expressly rejected.
- Quotes & Agreements
3.1. All quotations from Pet Style Living BV are without obligation and valid for 14 days, unless stated otherwise.
3.2. An agreement is concluded as soon as the customer receives a written order confirmation or as soon as Pet Style Living BV starts executing the order.
3.3. Price changes may be implemented in the event of changes in raw material prices, legislation or other external factors.
- Prices & Payments
4.1. All prices are exclusive of VAT and other levies, unless stated otherwise.
4.2. Invoices must be paid within 14 days of the invoice date, unless otherwise agreed in writing.
4.3. If the payment term is exceeded, the customer owes statutory commercial interest and collection costs may be charged.
4.4. If payment is not made, Pet Style Living BV reserves the right to suspend or terminate further deliveries.
- Delivery & Transfer of Risk
5.1. Delivery times are indicative and not fatal terms, unless expressly agreed otherwise.
5.2. The customer is obliged to check the goods for defects immediately upon delivery.
5.3. The risk of the goods passes to the customer at the time of delivery, unless otherwise agreed.
- Complaints & Warranty
6.1. Complaints about delivered goods must be reported in writing within 2 working days after delivery.
6.2. If a complaint is justified, Pet Style Living BV will, at its own discretion, proceed to replacement, repair or refund.
6.3. The warranty only applies if the customer complies with the instructions provided for use and maintenance.
- Liability & Force Majeure
7.1. Pet Style Living BV is not liable for consequential damage, lost profit or indirect damage.
7.2. The liability of Pet Style Living BV is limited to the invoice amount of the relevant delivery.
7.3. In the event of force majeure (such as strikes, pandemics, natural disasters or government measures), Pet Style Living BV has the right to suspend or cancel deliveries without compensation.
- Retention of title
8.1. All delivered goods remain the property of Pet Style Living BV until the customer has made full payment.
8.2. The customer may not resell or pledge goods as long as ownership has not yet been transferred.
- Termination of the Agreement
9.1. Pet Style Living BV can terminate the agreement with immediate effect if: a) The customer applies for a moratorium or is declared bankrupt. b) The customer fails to meet obligations despite repeated reminders.
9.2. Upon termination, all outstanding amounts shall become immediately due and payable.
- Privacy & Confidentiality
10.1. Pet Style Living BV processes personal data in accordance with applicable privacy legislation (GDPR).
10.2. Both parties undertake to keep confidential information secret, unless legally required to disclose it.
- Applicable Law & Dispute Resolution
11.1. These general terms and conditions are governed by Dutch law.
11.2. Disputes will be submitted exclusively to the competent court in Alkmaar.
12. Refusal of Delivery
12.1. Pet Style Living BV reserves the right to refuse orders and/or assignments or to attach additional conditions to the delivery. This right can be exercised if:
- The customer does not meet his payment obligations or other obligations under previous agreements.
- There is a suspicion of fraud, abuse or other unlawful acts by the customer.
- The customer has provided incorrect or incomplete information that is essential for the performance of the agreement.
- There is force majeure, as described in article 7.3 of these general terms and conditions.
12.2. If Pet Style Living BV decides to refuse an order or assignment or to attach additional conditions to the delivery, it will inform the customer of this in writing as soon as possible, but no later than 3 working days after receipt of the order or assignment, stating the reasons.
12.3. Pet Style Living BV is not liable for any damage suffered by the customer as a result of refusing an order or assignment, unless there is intent or gross negligence on the part of Pet Style Living BV.
